Source text - English MEMORANDUM OF UNDERSTANDING BETWEEN THE DEPARTMENT OF FOREIGN AFFAIRS AND INTERNATIONAL TRADE OF CANADA AND THE INTERNAL SECURITY FORCES OF THE XXX REPUBLIC ON THE CONTRIBUTION OF VEHICLES TO THE NORTHERN BORDER PILOT PROJECT (NBPP)
The Department of Foreign Affairs and International Trade of Canada (hereinafter referred to as “DFAIT”) and the Internal Security Forces of the XXX Republic (hereinafter referred to as the “Recipient”), together hereinafter referred to as the “Participants”,
TAKING INTO ACCOUNT the successful collaboration of the XXX Republic and Canada on peacekeeping and security capacity building throughout XXXXX; and
RECOGNIZING that enhancing the capacity of XXX border services is a priority for both the Recipient and Canada;
HAVE REACHED THE FOLLOWING UNDERSTANDING:
1. PURPOSE/ACTIVITIES
(a) DFAIT will provide an in-kind contribution of 28 non-armed 4x4 vehicles, to the Recipient’s Internal Security Forces, for purposes of the HSP 07-095– Provision of Vehicles to the Northern Border Pilot project (the “Project”).
(b) The purpose of the Project is to provide the Recipient with vehicles as a contribution to the Northern Border Pilot Project (NBPP) and XXX’s border management capacity, through a supply arrangement involving the Canadian Commercial Corporation (CCC) so it can carry out activities to improve the capacity of the common border force within the NBPP to control the area between legal border crossings.
(c) The Recipient will carry out the following activities:
(i) supervision and direction of the daily use of the vehicles for their intended purposes pursuant to subparagraph 1(b);
(ii) ensure that the vehicles are used to protect the human rights of all civilians - men, women, girls and boys - in accordance with XXXXX’s obligations under international human rights law;
(iii) maintenance and provision of support and running costs associated with the use of the vehicles;
(iv) keeping a regular record of maintenance activities concerning the vehicles;
(v) payment of taxes and other fees imposed on the vehicles and any related parts delivered to the Recipient pursuant to this MOU;
(vi) payment of any storage costs related to the vehicles
(vii) ensure government registration and licensing of the vehicles
(d) The Recipient will carry out its commitments as described in this MOU with care, skill, diligence, and efficiency.

Introduction and Summary of Conclusions
[1] Blackstone observed, “[I]t is a general and indisputable rule, that where there is a legal right, there is also a legal remedy by suit or action at law whenever that right is invaded."1 This case illustrates, however, that not every legal remedy is available for each perceived wrong.
[2] In this case, the applicant, Devil’s Gap Cottagers (1982) Ltd. (Cottagers), is a corporation whose 33 shareholders each own a cottage located on a parcel of land that forms part of the reserve lands of the Rat Portage Band No. 38B, also known as the Wauzhushk Onigum Nation (First Nation). The parcel of land was leased to the Cottagers on January 4, 1988 by Her Majesty the Queen in right of Canada, as represented by the Minister of Indian Affairs and Northern Development (Minister). The lease was entered into with the consent of the First Nation.
[3] The Cottagers assert that an agreement was reached in 1997 with the Chief and Council of the First Nation to extend the term of the lease to December 31, 2020. The Cottagers further assert that, notwithstanding this agreement, the First Nation's counsel advised in 2007 that the First Nation did not want to extend or enter into a new lease with the Cottagers. As a result, this application for judicial review was commenced by the Cottagers, which seeks, among other things, the following relief:
a) a declaration that the refusal of the Chief and Council of the First Nation to extend the lease (impugned decision) is a breach of a pre-existing contractual obligation owed to the Cottagers to extend the term of the lease to December 31, 2020;
b) a declaration that the impugned decision is contrary to the law;
c) an order of certiorari quashing the impugned decision; and
d) an order of mandamus requiring the First Nation to honour the pre-existing contractual obligation and to request the Minister to extend the term of the lease to December 31, 2020.
[4] The application for judicial review is dismissed because I find that the Council of the First Nation was not acting as a "federal board, commission or other tribunal" when it made the impugned decision. Accordingly, the Court does not have jurisdiction to deal with this application for judicial review. I also express doubt concerning the availability of the prerogative relief sought by the Cottagers because of the absence of a public law duty to support a claim to either mandamus or certiorari. These findings and observations do not prejudice the availability of private law remedies that may be sought by way of action.
[5] These reasons also deal with a motion by the Cottagers that the Court receive supplementary evidence and costs. That motion is dismissed because the evidence would not assist the Court on the issues that it finds to be determinative.
[6] No costs are awarded because the First Nation did not put in issue the equities of the Cottagers’ claim and because the determinative issue was raised by the Court — not the respondent First Nation.

Introduction et résumé des conclusions
[1] Blackstone disait : [TRADUCTION] « [I]l est une règle générale et incontestable selon laquelle lorsqu’il existe un droit en common law, il existe aussi un recours en justice par voie de poursuite ou d’action en common law chaque fois qu’il est porté atteinte à ce droit. »1 La présente affaire illustre cependant que tout recours en justice n’est pas ouvert relativement à chaque tort perçu.
[2] En l’espèce, la demanderesse, Devil’s Gap Cottagers (1982) Ltd. (« Cottagers »), est une société dont les 33 actionnaires sont chacun propriétaire d’un chalet situé sur une parcelle de terrain qui fait partie des terres de réserve de la bande de Rat Portage no 38B, aussi appelée la Nation Wauzhushk Onigum (« la Première nation »). Sa Majesté la Reine du chef du Canada, représentée par le ministre des Affaires indiennes et du Nord canadien (le « ministre »), a loué le terrain en question à Cottagers le 4 janvier 1988. Le bail a été conclu avec le consentement de la Première nation.
[3] Cottagers affirme qu’elle a conclu en 1997 avec le chef et le conseil de la Première nation une entente ayant pour objet de prolonger la durée du bail jusqu’au 31 décembre 2020. Cottagers affirme en outre que, malgré cette entente, les avocats de la Première nation ont fait savoir en 2007 que la Première nation ne voulait pas prolonger le bail ni conclure un nouveau bail avec Cottagers. En conséquence, Cottagers a introduit la présente demande, qui vise à obtenir, entre autres choses, les réparations suivantes :
a) une déclaration selon laquelle le refus du chef et du conseil de la Première nation de prolonger le bail (la décision attaquée) constitue un manquement à une obligation contractuelle préexistante, due à Cottagers, de prolonger la durée du bail jusqu’au 31 décembre 2020;
b) une déclaration selon laquelle la décision attaquée est contraire à la loi;
c) une ordonnance de certiorari annulant la décision attaquée;
d) une ordonnance de mandamus exigeant que la Première nation honore l’obligation contractuelle préexistante et demande au ministre de prolonger la durée du bail jusqu’au 31 décembre 2020.
[4] La demande de contrôle judiciaire est rejetée parce que j’estime que le conseil de la Première nation n’agissait pas à titre d’« office fédéral » lorsqu’il a pris la décision attaquée. En conséquence, la Cour n’a pas compétence pour statuer sur la présente demande de contrôle judiciaire. J’exprime également des doutes quant à savoir si les recours extraordinaires que demande Cottagers lui sont ouverts, étant donné qu’il n’existe aucune obligation légale à caractère public pouvant étayer ni la demande de mandamus ni celle de certiorari. Ces conclusions et observations ne préjudicient pas à l’ouverture de recours de droit privé qui pourraient être exercés par voie d’action.
[5] Les présents motifs traitent aussi d’une requête de Cottagers visant à obtenir que la Cour admette des éléments de preuve additionnels, et des dépens. Cette requête est rejetée parce que les éléments de preuve n’aideraient pas la Cour à trancher les questions qu’elle estime déterminantes.
[6] D’autre part, aucuns dépens ne sont accordés parce que la Première nation n’a pas remis en question le bien-fondé de la demande de Cottagers et parce que la question déterminante a été soulevée par la Cour – et non par la Première nation intimée.

Lettre ouverte au Président de la République de quarante juristes universitaires au sujet du « règlement sur la loi applicable aux obligations contractuelles ».
Monsieur le Président de la République,
Dans une démocratie organisée selon les principes de l’état de droit, une règle n’est légitime que si elle émane d’une autorité investie du pouvoir de l’édicter. Comme on l’enseigne aux étudiants de première année des facultés de droit, sinon déjà aux collégiens dans leurs cours d’instruction civique, ce n’est qu’à cette condition qu’elle est une règle de droit et mérite donc obéissance. Pourtant, et malgré les protestations de plus en plus vives d’un nombre toujours plus grand de juristes européens, les institutions communautaires ne cessent de prendre des libertés avec ce postulat. Et, par le Règlement en cours d’adoption sur la loi applicable aux obligations contractuelles, elles paraissent désormais résolues à définitivement l’ignorer.
Ce texte constitue la dernière en date, et la plus radicale, des offensives menées par la Commission en faveur de la loi du pays d’origine. Mais il va beaucoup plus loin en ce sens que la célèbre « proposition de directive Bolkestein » qui a fait connaître ce principe à l’ensemble des citoyens : alors que celle-ci concernait exclusivement les services, le Règlement projeté affecte tous les secteurs d’activité.
La justification avancée à l’appui de ce texte serait le besoin de « moderniser » la Convention du 19 juin 1980, qui gouverne aujourd’hui la matière. Mais c’est un total bouleversement de son économie qui est en réalité poursuivi.
La Convention de 1980, en effet, retient des solutions en apparence très proches de celles que contenait la proposition de directive Bolkestein : comme elle, elle soumet les contrats à la loi du pays dans lequel est établi le fournisseur des biens ou des services, à moins que les parties n’aient fait le choix d’une loi différente.
Mais dans la Convention, l’application de la loi ainsi désignée n’est que subsidiaire. Car à titre principal s’imposent aux parties les règles impératives dont les Etats jugent le respect nécessaire pour garantir la justice entre les contractants et l’utilité sociale de leurs accords. Or si la proposition de Règlement maintient formellement cette solution, c’est, comme l’indique expressément l’exposé de ses motifs, sous cette réserve que l’application des règles impératives en question « doit se faire dans le respect des dispositions du traité » instituant la Communauté européenne. Et cette exigence nouvelle est absolument capitale puisqu’elle constitue l’unique enjeu, et donc le véritable objet, de la transformation de la Convention de 1980 en instrument de droit communautaire.

Open Letter to the President of the Republic from Forty Legal Academics Concerning the “Regulation on the Law Applicable to Contractual Obligations”
Mister President of the Republic:
In a democracy organized in accordance with the principles of a constitutional state, a rule is legitimate only where it is made by an authority vested with the power to enact it. As first-year law students are taught – when they haven’t already learned this in high-school civic instruction classes – only under that condition does it qualify as a rule of law and therefore deserves obedience. Yet – and despite the rising protests of an ever-growing number of European legal professionals – Community institutions have been repeatedly taking liberties with this postulate. And they now seem determined to simply do away with it for good, judging by the current draft regulation on the law applicable to contractual obligations.
The draft regulation is the latest and most radical offensive led by the Commission in favour of the “law of the country of origin”. In this respect, however, it goes much farther than the famous “Bolkenstein directive proposal”, which revealed the principle to the general public: indeed, whereas the latter covered services only, the draft regulation affects all areas of activity.
The purported justification for the regulation is the alleged need to “modernize” the Convention of 19 June 1980, which currently governs the subject-matter. However, in effect, what we are dealing with is an attempt to totally disrupt the scheme of the Convention.
True, the 1980 Convention leads to solutions apparently very similar to those contained in the Bolkenstein directive proposal: both provide that a contract shall be governed by the law of the country in which the supplier of goods or services is established, unless the parties have chosen a different law.
However, under the Convention, the application of the law thusly designated is merely supplementary – because first and foremost, the parties are bound by those mandatory rules whose observance the States deem necessary to guarantee both justice between contracting parties and the social usefulness of their agreements. Now, although the proposed regulation formally maintains the same solution, it does so – as the preamble explicitly specifies – subject to the principle that the application of such mandatory rules “must be applied in a manner compatible with the Treaty” establishing the European Community. And this new requirement is absolutely crucial, as it is the only consequence, and therefore the true purpose, of the transformation of the 1980 Convention into an instrument of Community law.

Le 28 février 2008, vous nous avez mandatés afin d’analyser la responsabilité potentielle envers les Fonds de retraite ABC (« ABC ») des différents intervenants impliqués dans la commercialisation des investissements de type papier commercial adossé à des actifs (ci-après « PCAA ») suite au défaut, à partir des 13 et 14 août 2007, d’un nombre important de fiducies (ci-après « Fiducie ou Fonds ») ayant émis des titres (ci-après « Billets ou Titres » selon les circonstances) de PCAA de racheter les Billets émis et suite à la fermeture des marchés pour de tels véhicules d’investissement.
Dans la présente lettre d’opinion préliminaire, nous porterons une attention particulière à la responsabilité de la Banque X (ci-après « BX ») et de sa filiale, ABX (ci-après « ABX »), cette dernière ayant agi à titre de courtier dans le cadre de l’acquisition de la presque totalité des Titres problématiques. Dans le cadre de notre analyse, nous évaluerons également la responsabilité potentielle des autres intervenants tels l’agence de cotation Dominion Bond Rating Service (« DBRS »), les Fiducies ayant émis les Titres, les fiduciaires en charge des différentes Fiducies en leur capacité personnelle et, finalement, les différents fournisseurs des liquidités (« Liquidity Providers ») qui ont l’obligation de fournir des liquidités aux différents Fonds, sous certaines conditions, afin de leur permettre d’honorer le rachat des Titres lorsqu’ils arrivent à échéance.
La présente opinion préliminaire ne traite pas de la responsabilité potentielle en tant que tel de la BY (« BY ») et de la BZ (« BZ ») en raison de leur implication dans les fiducies L, M et N, puisque l’ensemble de l’information pertinente n’a pu être obtenu et analysé depuis la demande du 28 février 2008. On February 28, 2008, you instructed us to analyze the potential liability toward the ABC Pension Plans (“ABC”) of the various parties involved in the marketing of “assets-backed commercial paper” (“ABCP”) type investments, following failure from August 13 and 14, 2007 onwards by a significant number of trusts (hereinafter “Trusts or Funds”) which had issued ABCP securities (hereinafter “Notes or Securities”, depending on the context) to repurchase the Notes issued, after the markets for such investment vehicles were shut down.
In this preliminary opinion letter, we will focus especially on the liability of the X Bank (hereinafter “BX”) and its subsidiary ABX (hereinafter “ABX”), the latter having acted as broker in the context of the purchase of virtually all of the problematic Securities. In our analysis, we will also assess the potential liability of other parties such as the rating agency PQR Rating Service (hereinafter “PQRRS”), the Trusts that issued the Securities, the trustees in charge of the various Trusts in their personal capacity, and, finally, the various liquidity providers who are under an obligation to provide liquidities to the various Funds, under certain conditions, in order to enable the latter to honor their obligation to repurchase the Securities upon maturity.
This preliminary opinion does not deal with the potential liability per se of the Bank of Y (“BY”) and Bank of Z (“BZ”) owing to their involvement in the L, M, and N Trusts, as it has not been possible to obtain and analyze all of the relevant information since your February 28, 2008 request. Although the investments in which BY and BZ are involved represent a small portion of ABC’s ABCP investment portfolio, we understand that an opinion on this issue will also be useful. We will be pleased to provide you with such an opinion if and when you deem necessary.
Also, this preliminary opinion does not deal specifically with the effects and the possibility of participating in the various restructurings currently underway. It should, however, constitute an essential preliminary step for future discussions and analyses regarding said restructurings. If and when you find it useful, we will be glad to provide you, at a future date, with our legal analysis regarding the current and future restructurings.
