"Die Mitgliederversammlung wird vom Vorsitzenden, bei dessen Verinderung vom stellvertretenden Vositzenden geleitet; ist auch dieser verhindert, wählt die Mitgliedversammlung einen Versammlungsleiter."
This is purely a grammar issue. I have come across "bei dessen" before:
(Mitgliederversammlung werden vom Vorsitzenden, *bei dessen* Verhinderung vom stellvertretenden Vorsitzenden durch einfachen Brief einberufen)
and translated it as:
"Annual General Meetings of the membership are convened by the chairperson AND MAY BE prevented by the acting chairperson by way of a simple letter. "
Is this acceptable and can I do the same for the first sentence?

My suggestion for the whole sentence:
The Annual General Meeting will be chaired by the appointed chairperson or if/when he or she is unable to be present by the vice-chairperson; if the latter is also unable to be present, the meeting will select a person to chair the meeting.
The shareholders' meeting - come to that, ANY meeting with a chairman/chair(person) - is NOT "directed", but chaired by that individual.

Meetings...are directed [NOT convened!] by the chairperson or, in his/her absence [in case he/she is prevented], by the deputy chairperson. In case the latter is also absent, the meeting elects a person to direct the meeting.
I'm sure you will find a better way of expressing this, but that's the gist of the sentence. There is no letter, no convening and no invitation involved or mentioned.
