SECTION 9.
The Supplier shall be free to fix the price for the products when selling to the Distributor, and the Distributor shall be free to fix the price when selling to customers.
However, the Supplier shall be required to give the Distributor two months’ notice of any future price increases. Terms of delivery and payment are to be agreed upon on a separate basis.
Force Majeure – e.g. in the form of war, whether declared or not, insurrection, fire, government intervention, government requirements, national disasters, strikes, lock- outs, export or import embargoes, accidents during transportation, damage to the production facilities of the Supplier, shortage of labour, shortage or non-delivery of materials, fuel or power or any other circumstances beyond the control of the Supplier, including late delivery by the Supplier’s own suppliers, that conclusively or for the period of time prevents delivery, shall constitute cases of relief for the Supplier, who shall be entitled to a corresponding extension of the time for delivery or to cancel the order without thereby incurring any liability as a result.
SERVICE
SECTION 10.
The Distributor undertakes to provide the customers with service and technical assistance.
The Supplier shall pass on all reasonably relevant technical data regarding the Products to the Distributor and shall likewise, if agreed in a separate agreement, assist the Distributor with technical support. Upon the expiry or the termination of this Agreement, all technical data provided by the Supplier to the Distributor must, free of charge, be returned by the Distributor.
NOTIFICATION OF EFFECTS - LIABILITY FOR DEFECTS
SECTION 11.
The Distributor shall inspect the products immediately on the Supplier’s delivery.
Any claim by the Distributor based on defect of quantity or quality, which is apparent upon reasonable inspection upon delivery of the products or part thereof, must be advised to the Supplier as soon as possible and in any event confirmed in writing within seven working days of delivery of the Products. Beyond this time limit no claims will be considered by the Supplier.
Where the notice is warranted and made in due time, The Supplier undertakes to replace the products or remedy the defect at his own discretion within a reasonable time or, if he so chooses, refund to the Distributor the price of the products or the proportionate part thereof.
Where the Distributor offers such replacement or remedy, the Distributor shall not be entitled to cancel the purchase or to claim compensation occasioned by the defect.
The liabilities for defects provided herein are all liabilities that the Supplier shall bear in connection with the defects of the products. Upon no circumstances shall the Supplier be liable for loss of production, loss of profit or any other consequential or indirect loss.
PRODUCT LIABILITY
SECTION 12.
Subject to the Korean Act on Product Liability, The Supplier is liable for any loss or damage caused by defective Products to the extent that the Supplier is liable as a manufacturer under the Korean Act on Product Liability and the loss or damage is not covered by the product liability insurance subscribed for by the Distributor. However, the Supplier shall not be liable in the event the loss or damage has occurred due to an act of negligence or intentional misconduct by the Distributor. The Distributor shall subscribe for the product liability insurance satisfactory to the Supplier and name the Supplier as the additional insured.
The Supplier assumes no liability for defective Products outside the scope of the Korean Act on Product Liability.

SECÇÃO 9.
O Fornecedor será livre de fixar o preço dos produtos, quando vendidos ao Distribuidor, e o Distribuidor será livre de fixar preços, quando vendidos aos clientes.
No entanto, o fornecedor obriga-se a dar ao Distribuidor aviso prévio de dois meses de qualquer futuro aumento de preços. Os prazos de entrega e pagamento deverão ser acordados à parte.
Força Maior – p. ex. Em caso de guerra, declarada ou não, insurreição, fogo, intervenção e exigências do governo, desastres nacionais, greves, greves patronais, embargos de importação ou exportação, acidentes no transporte, danos às instalações de produção do Fornecedor, falta de trabalho, falha na entrega de materiais, combustível ou energia ou qualquer outra circunstância para além do controlo do Fornecedor, incluindo atraso nas entregas pelos próprios fornecedores dos Fornecedores, que conclusivamente ou por um determinado período de tempo impede as entregas, deverá constituir justificação para o Fornecedor, que deverá ter direito a uma extensão ao prazo da entrega ou a cancelar a encomenda sem, com isso, incorrer em qualquer obrigação.
SERVIÇO
SECÇÃO 10.
O Distribuidor, compromete-se a fornecer aos clientes serviço e assistência técnica.
O Fornecedor transmitirá ao Distribuidor todos os dados técnicos relevantes relativos aos Produtos e, deverá da mesma forma, caso acordado à parte, assistir o Distribuidor com suporte técnico. Perto da expiração ou término deste Acordo, todos os dados técnicos fornecidos pelo Fornecedor ao Distribuidor deverão ser devolvidos pelo Distribuidor, sem qualquer custo adicional.
NOTIFICAÇÃO DE EFEITOS– RESPONSABILIDADE POR DEFEITOS
SECÇÃO 11.
O Distribuidor inspeccionará os produtos imediatamente no acto da entrega por parte do Fornecedor.
Qualquer reclamação por parte do Distribuidor baseada em falhas de qualidade ou quantidade, que aparentemente se encontra sobre uma inspecção razoável na entrega dos produtos ou parte dela, deve ser comunicada ao Fornecedor o mais rápido possível e em qualquer situação confirmada por escrito dentro de sete dias úteis após a data de entrega dos produtos. Para além deste prazo nenhuma reclamação será considerada pelo Fornecedor.
Quando o aviso é garantido e feito dentro do prazo estipulado, o Fornecedor compromete-se a substituir os produtos ou a solucionar o problema por sua conta, dentro de um espaço de tempo razoável, ou caso prefira, reembolsa ao Destribuidor o valor dos produtos ou a parte proporcional dos mesmos.
Quando o Fornecedor oferece tais substituições ou soluções, o Distribuidor não poderá cancelar a compra ou reclamar qualquer compensação pelos danos.
As responsabilidades por defeitos fornecidos aqui descritas, são responsabilidades que o Fornecedor deverá suportar relativamente aos defeitos dos produtos. Em qualquer circunstância, deverá o Fornecedor ser responsabilizado pela perda da produção, perda de lucro ou qualquer outra perda indirecta ou consequencial.
RESPONSABILIDADE PELO PRODUTO
SECTION 12.
Sujeito à Lei Coreana na Responsabilidade pelo Produto, o Fornecedor é responsável por qualquer perda ou dano causado por Produtos com defeito aditando que, segundo a Lei Coreana, o Fornecedor é responsável, enquanto fabricante, na Responsabilidade pelo Produto onde a perda ou dano não está coberta pelo seguro de Responsabilidade pelo Produto, assinado pelo Distribuidor.
No entanto, o Fornecedor não será responsável em caso de perda ou dano provocados por um acto de negligência ou conduta imprópria intencional por parte do Distribuidor. O Distribuidor assinará o seguro de Responsabilidade pelo Produto, satisfatório ao Fornecedor e denominará este último como assegurado adicional.
O Fornecedor não assume qualquer responsabilidade por produtos com defeito que não sejam regidas pela Lei Coreana na Responsabilidade pelo Produto.
