This Agreement between XXX S.A (hereinafter collectively referred to as the “Company”) having the registered office at ?????????, and YYY Ltd having the registered office at ???? (hereinafter referred to as the “Agent”) shall be effective on the date this Agreement is signed by the Company (such date hereinafter referred to as the “Effective Date”). The Company and the Agent hereinafter sometimes are referred to individually as a “Party” or collectively as the “Parties”.
In consideration of the premises and the mutual covenants and undertakings contained herein, the parties do hereby agree as follows:
1. Appointment
1.1 Subject to the terms and conditions of this Agreement, the Company hereby appoints the Agent and the Agent agrees to perform as the Company’s authorized exclusive sales representative during the Term (as defined in clause 3) in the geographic area and markets (hereinafter collectively referred to as the “Territory”) defined in clause 2.1) and other which maybe appointed later for the sale of the products defined in clause 2.2) (hereinafter collectively referred to as “Products”)
1.2 The Agent shall not solicit orders or otherwise act outside of the Territory or in connection with sales to customers outside of the Territory except with the Company’s express prior written consent.

El presente contrato entre XXX S.A.. (de aquí en adelante referido colectivamente como la “Compañía”) con domicilio constituido en ??? , y YYY Ltd, con domicilio constituido en ??? (de aquí en adelante denominado como el Representante”) entrará en vigencia en la fecha de la firma del presente Contrato por parte de la Compañía (dicha fecha denominada de aquí en adelante como la “Fecha de Vigencia”).
