Opposable also has a residual contract estoppel meaning . which we leave for now.
Binding on and enforceable against is a conventional EN wording.
In EN, 'dehors' the insurer doesn't work whereas 'dehors' a Will - such as a secret trust in Equity - does.
'A settlement ... made and to which the insurer is not privy' didn't fit onto the answer line.
