In the re-written sentence, "give" looks even more like a typo for given. Because of the "and" before "give", that "give(given) can only be parallelled to " by way of", rather than "procure".

how about rearrange the sentences a bit to become:
The shareholder shall immediately by way of directors' meetings and shareholders' meetings (and give the requite consents to short notice in respect of the extraordinary general meeting), procure the subscription by the Shareholders for an aggregate of 100,000.00 shares of $1.00 each
