Manager\'s Called Securities

English to German Bus/Financial Investment / Securities subscription deed

"Bad Leaver Call Option Price" means, with respect to the *Manager's Called Securities* (whether or not vested), an aggregate amount equal to the lesser of (i) the Fair Market Value of each such Called Securities, and (ii) the Original Value of each such Called Security, in each case net of any applicable withholding tax.
