If applicable, if in the scope of an audit of Licensee’s records (which may be for multiple agreements between Licensor and Licensee, inclusive of this Agreement) it is determined that there is a shortfall in Royalties reported for any quarter for any agreement Licensee shall, upon request by XXX, pay such shortfall and, if the shortfall is 5% or more in Royalties or Five Thousand United States Dollars (USD ,000), whichever is the lesser, reported for such quarter, Licensee also shall reimburse XXX for the full out-of-pocket costs for the scope of the entire audit covering all agreements audited, including the costs of employee auditors calculated at (...) per hour per person for travel time during normal working hours and actual working time.
