1.2.4 No Price Reduction shall occur in respect of any claim to the extent it is based on a matter which has been specifically reserved against in the Company Financial Statements, provided that the Losses in respect of such matter do not exceed the amount of such reserve and such reserve (i) is reflected on Schedule 6.2.1 to the Disclosure Letter
