Not sure about how to translate "fait" here.

"Dans les rapports du dirigeant avec les tiers, le fait des associés et de la société ne produit pas d’effet libératoire. Le dirigeant social demeure donc seul responsable à l’égard des tiers, même lorsqu’il n’a commis un délit que sur l’ordre exprès de la société.
Mais dans le rapports entre le dirigeant et les associés, ces derniers ne peuvent pas reprocher au dirigeant d’avoir causé un préjudice à la société en se conformant à leurs ordres exprès. Le fait des associés atténue ou exclut donc la responsabilité du dirigeant"

This may refer to prejudice caused by a third party act or attributable to a third party. I don't see this in your context. "Le fait des associés" may refer to prejudice caused by the partners.
