English to German Law/Patents Law: Contract(s)

Hi, ich weiß dieser Begriff ist schon so oft diskutiert worden, ich bin trotzdem in diesem Fall noch unsicher und bitte um eueren Rat.
Es handelt sich um eine Written Resolutions of Directors, Appointment of Directors, Resignation of Directors, etc. insgesamt um Articles of Association der Gesellschaft XY limited.
Directors sind ja Board-Mitglieder bzw. Verwaltungsratmitglieder, oder? In diesem Zusammenhang bin ich mir unsicher ob das Sinn macht. Hier ein Textauszug:

APPOINTMENT OF DIRECTORS
RESOLVED that the following persons be appointed as directors of the Company with immediate
effect and consent to be such directors were received and that the necessary notice be filed with the
Companies Registry in accordance with the Companies Ordinance.

RESIGNATION OF DIRECTOR
RESOLVED that the resignation tendered by the following director of the Company be accepted with
immediate effect and that the necessary notice be filed with the Companies Registry in accordance
with the Companies Ordinance.

ALLOTMENT OF NEW SHARES
NOTED that applications by the following allottees for allotment of the following shares in the capital
of the Company as fully paid up at par and to rank in pari passu with all existing issued shares were
received.
RESOLVED that the said applications for allotments be approved, and that new share certificates be
issued under the Common Seal of the Company to the respective applicants and that the necessary
notice be filed with the Companies Registry in accordance with the Companies Ordinance.

Kann hier mit Director auch einfach Geschäftsführer gemeint sein?????
