Italian to English Bus/Financial Accounting letter to shareholders

Hi folks
I'm having trouble understanding the concept here. Pippo is
hiving off an area of its business (a profitable one at that) for some reason that escapes me, but they seem to be retaining an interest in it (or perhaps they're retaining the whole thing and are just divesting it to escape the taxman). In this context (and any other context come to that) I can't figure out what they mean about the loan replayment clause at the end of the excerpt.

"L’accordo prevede che PIPPO investa nella newco, che effettuerà l’acquisizione, 12,5 milioni di euro pari al 17,3% del capitale della newco stessa.
