Source text - English The Fraud Triangle is a common model used to explain the factors that cause someone to commit fraud. It consists of three components namely “Pressure”, “Opportunity” and “Rationalisation” which, together, lead to fraudulent behaviour. Refer to Appendix 2 for details of Fraud Triangle.
While the fraud triangle helps explain what triggered a fraud to be committed or how a fraud might apply to most embezzlers and occupational fraudsters, it does not:
• Apply to predatory employees – individuals who take jobs with a premeditated intent of stealing from employers, and
• Apply to repeated offender – while a rationalisation is necessary for most people to begin committing fraud, perpetrators often abandon rationalisations after the initial act. Most frauds are not one-time events; they usually start as small thefts or misstatements then gradually increase in size and frequency. As the perpetrator repeats the act, it becomes easier to justify until eventually no justification is needed at all.
Most fraud cases are discovered by fraud alerts or by conscientious customers or staff. As fraudsters become more sophisticated, constant vigilance is needed within XYZ. Furthermore, reducing fraud risk requires the use of technologies and improved controls and procedures.

DIRECTORS, OFFICERS, SHAREHOLDER VOTING
Section 9.1 Number and Appointment of Directors. The business and affairs of the Company shall be managed and controlled by the Board of Directors. The board of directors of the Company shall consist of Six (6) members of whom three (3) shall be nominated by Indian Promoters, and three (3) of whom shall be nominated by the German Shareholders.
Section 9.2 Vacancy; Removal. In the event that the position of a Director becomes vacant for any reason (including the death, disability or resignation of any such Director), the Company shall appoint as replacement Director the person nominated by the Shareholder(s) that originally nominated the Director whose office became vacant. Each Shareholder shall vote its shares for the removal of a Director only upon the request of the Shareholder(s) that nominated or is entitled to nominate such Director; otherwise, no Shareholder shall vote for the removal of a Director. A Director shall be removed with or without cause upon and only upon the affirmative vote of the Shareholders in accordance with this Section 9.2 and the provisions of applicable law.
Section 9.3 Quorum. The quorum for a Directors' meeting shall be at least four (4) Directors.
Section 9.4 Meetings. The Parties shall cause the Board of Directors to hold regular meetings at least quarterly and special meetings whenever they deem them to be necessary.
