Hi Lydia. Just got back from working out.

Tom West. Spanish-English Dictionary of Law and Business.

"tradición: physical delivery of a thing"

"título de acciones nominativas: stock certificate registered in the name of the owner"

So in this case since it is not necessarily "nominativas" I eliminated "regsitered in the name of the owner"

The transfer of shares shall be evidenced

The share certificates themselves are all that are required to demonstrate ownership.

For instance, no share sale and purchase agreement needs to be shown.

Contrariwise, the share certificates themselves must be shown, a share sale and purchase agreement would not be sufficient to demonstrate ownership. :)

Pity, again, that gundisalvus doesn't post ideas as a separate entry. Will save me repeating my own - often similar - spin on the term.

Delivery IMO isn't enough, as that could imply to the company's treasury for regsitration and not the prospective transferee, notwithstansing the Board of Directors' right to refuse the transfer 'without assigning any reason therefor'.

The shares, surely, must be bearer/al portador if transferred by delivery. A regd. share/nominativa cannot usually in the US/UK etc.

agree with Tom Thumb's interpretation, however the translation as "mere delivery of possession of the certificate" seems to say more than what is required or what the Spanish says in "tradición". Agreed that this would ordinarily apply to bearer shares, but could be registered shares (nominative) endorsed on the certificate to the transferee with title transferred by mere physical delivery.
