and for the purposes of this Master Agreement:
(i) one corporation controls another when, at the relevant time, it owns either directly or indirectly more than fifty per cent (50%) of the shares entitled to vote at general meetings of that other corporation or is entitled (directly or indirectly) to appoint a majority of the directors of the other corporation;
